NEED USA LAWYER - ATTORNEY FREELANCER -NOONE ELSE QUALIFIES
Myself and two other partners started a Delaware LLC together DEC 2016.
Those two each have 33% and me 33%. They put up $50,000 into the company and i build the company for my sweat equity.
Now they dont want any liability and i want to make sure they sign over all of their shares to me so I own 100%. This is what they want to do on the one contract.
Then on another contract, they want me to sign a promissory note for $50,000 USD to be paid back from the business if it is ever healthy enough to pay it back or MPC global sales commissions from my many clients that I have which buy from their company which lent the money $50,000 as an investment. So they want me to promise them that $50,000 worth of commissions will go to pay off that $50,000 USD debt.. I need two separate contracts as I need to show a new investor that I own 100% of the company and they released shares. Need to make sure there is no way at any time in the future either of them can claim anything that they own anything as I plan to make it a very big company with another investor.
